Photoshop: Do I need to have a previous version installed to install/reinstall the upgrade?

I have cs5 which was loaded as an upgrade from cs3, I want to deactivate cs5 on my old computer to load it on to a new computer. Will i have to load cs3 again or will the cs5 upgrade disc be sufficient
I know how to deactivate, just afraid of losing it altogether

No, you don't need to have the previous version of Photoshop installed on your computer in order install/activate the upgrade version of Photoshop CS5. You will, however, need to enter your CS3 serial during the Photoshop CS5 install/activation process.

The same is true for Lightroom, Photoshop Elements, and Premiere Elements.
